These Terms of Service (“Terms”) govern your use of the website chitrakproductions.com (the “Website”) and the video production and related creative services (“Services”) offered by Chitrak Productions, a proprietorship based in Bangalore, Karnataka, India (“we,” “us,” or “our”). By accessing our Website or engaging our Services, you (“you,” “Client,” or “your”) agree to be bound by these Terms.
1. Services
Chitrak Productions provides professional video production services, including but not limited to pre-production and scripting, production and filming, post-production and editing, motion graphics and visual effects, event and live coverage, and social media content creation. The specific scope, deliverables, timelines, and fees for each engagement are defined in a project proposal or service agreement shared with the Client prior to the commencement of work.
2. Eligibility
You must be at least 18 years of age to use this Website or engage our Services. By using this Website, you represent and warrant that you have the legal capacity to enter into a binding agreement.
3. Payments
All payments for Services are processed through Razorpay, a third-party payment gateway. By making a payment, you agree to Razorpay’s terms of service and privacy policy in addition to these Terms.
Payment terms, including advance amounts, milestone payments, and final settlement, are specified in the project proposal or service agreement. Unless otherwise agreed in writing, a non-refundable advance payment is required before work begins.
All prices listed on the Website are in Indian Rupees (INR) and are exclusive of applicable taxes, including GST, unless stated otherwise.
4. Project Scope and Revisions
The scope of work for each project is defined in the project proposal or service agreement. Any work requested beyond the agreed scope constitutes additional work and will be quoted and billed separately.
Each pricing plan includes a specified number of revision rounds. Additional revisions beyond the included rounds will be charged at a rate communicated to the Client in advance.
5. Client Responsibilities
The Client agrees to provide all necessary materials (briefs, brand assets, access to locations, permissions, talent approvals) in a timely manner as required for the project. Delays caused by the Client in providing required inputs may result in revised timelines and, where applicable, additional charges.
The Client is responsible for obtaining all necessary permissions, licences, and consents for locations, talent, music, and any third-party intellectual property used in the project, unless expressly included in the agreed scope of work.
6. Intellectual Property
Upon receipt of full and final payment, the Client is granted a licence to use the final delivered videos and creative assets for the purposes agreed upon in the project proposal. Unless expressly agreed otherwise in writing, Chitrak Productions retains ownership of all raw footage, project files, working files, and source assets.
Chitrak Productions reserves the right to use samples of delivered work in its portfolio, showreel, website, and marketing materials, unless the Client requests confidentiality in writing prior to commencement of the project.
7. Cancellation by Client
If the Client wishes to cancel a project after work has commenced, the following applies:
- Cancellation before pre-production is complete: the advance payment is forfeited.
- Cancellation during or after production (shoot): the Client is liable for all costs incurred up to the date of cancellation, including crew, equipment, travel, and any third-party expenses.
- Cancellation during post-production: the Client is liable for the full project fee, less any undelivered components that have not yet been commenced.
8. Cancellation by Chitrak Productions
Chitrak Productions reserves the right to cancel or withdraw from a project if the Client fails to provide required materials or approvals within a reasonable timeframe, if the Client engages in conduct that is abusive, threatening, or otherwise unreasonable, or if circumstances beyond our control (force majeure) prevent us from fulfilling the engagement. In such cases, any fees for work not yet commenced will be refunded.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Chitrak Productions’ total liability arising from or related to any engagement shall not exceed the total fees paid by the Client for that specific project. Chitrak Productions shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the completion or termination of the project.
11. Dispute Resolution
Any disputes arising out of or relating to these Terms or any engagement shall first be attempted to be resolved through good-faith negotiation. If unresolved, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore, Karnataka. The arbitration shall be conducted in English. The courts of Bangalore shall have exclusive jurisdiction.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Consumer Protection Act, 2019, as applicable.
13. Amendments
Chitrak Productions reserves the right to update or modify these Terms at any time. The updated Terms will be posted on this page with a revised “Last Updated” date. Continued use of the Website or Services after such changes constitutes your acceptance of the revised Terms.
